Contract Law

Drafting and negotiating commercial, lease, service, confidentiality and licence agreements.

Contract law governs the validity and interpretation of agreements between individuals and companies, and the remedies available when they are breached. It forms the foundation of private law relationships.

A poorly or incompletely drafted contract can lead to serious disputes between the parties. Professional legal support at the drafting stage reduces risk and secures the relationship.

Boybey Law & Consultancy advises clients on drafting, reviewing and negotiating all types of contracts, including commercial, lease, service, confidentiality, licence and security agreements. Our aim is that every contract is clear, balanced and enforceable.

Frequently asked questions

Must a contract be in writing?

As a rule, contracts are not subject to any form. However, some contracts such as the sale of real estate require an official form, and others such as suretyship have special written requirements; putting agreements in writing is always advisable for evidence.

How high can a contractual penalty be?

The parties are free to set the amount of a penalty clause. However, the judge may reduce an excessive penalty, although this possibility is restricted by law for debtors who are merchants.

What if the other party breaches the contract?

In case of default, the creditor may demand performance and damages for delay or, where the conditions are met, withdraw from the contract. The right course should be chosen by assessing the contract terms together with steps such as a formal notice.
